Description: At Marsh & McLennan Companies, attracting and retaining key talent through our equity and long term incentive programs is core to our long term organizational success. As the Director, Global Equity and Long-Term Cash Compensation Programs, youll manage the companys global equity and long-term cash compensation programs, including strategy, design, communication and implementation, that align with HR-related objectives and our business strategy. Youll need to be an experienced people and program manager and well-versed in the multi-faceted and technical aspects of equity compensation. Youll oversee a small team of experienced professionals with a focus on managing the function, projects and day-to-day activities covering the life-cycle of awards from grant to vesting/exercise. Youll also be responsible for managing external (vendor) and internal (HR and staff area) relationships.
Responsibilities of the Director (and department staff) include: Grant Process. Oversees the annual and off-cycle grant processes by collaborating with Legal on award documentation, developing participant communications and overseeing online grant acceptance process. Vesting/Exercise Process. Ensures teams accurate and timely processing of awards upon vesting or exercise, including tax withholdings, distributions to stock plan accounts, payments via global payrolls, and, if applicable, waiver and release and/or notice period requirements. Client Service and Education. Oversees the handling of participant, HR business partner and/or management inquiries regarding our equity and cash-based award programs and individual situations. Develops communications and presents periodically on general matters or topics of interest. Relationship Management. Manages the teams relationships with our stock plan administrator (Fidelity) and internal stakeholders, including HR, HRIS/IT, Payrolls, Finance, Legal, etc. Reporting. Maintains and develops, as needed, routine and ad hoc reporting for internal stakeholders including Finance (Investor Relations, FP&A and Controllership) Accounting, Payroll, Human Resources and Legal. Global Tax Reporting/Filing Rules. Partners with global mobility, US and non-US payrolls and external vendors (including outside counsel) to determine and implement tax withholding and filing/reporting requirements. Proxy Statement. Manages the collection of data for the proxy statement, including equity compensation table and related narrative; reconciles year-over-year stock award transactions. Supports disclosure of named executive officer compensation with respect to outstanding equity-based awards, treatment upon termination of employment, etc. Form 10-K. Participates in the development of the companys 10-K disclosure with respect to stock compensation tables and related narrative, ensuring accuracy and appropriate descriptions of equity-based award program and awards. Compliance. Manages recordkeeping and responds to inquiries relating to internal and external audits and SOX process. Works with Legal to review outside counsels guidance with respect to country securities laws, exchange control laws, etc. and implement appropriate procedures to be in compliance. Benchmarking. Reviews programs, policies and practices with respect to market trends and alignment with internal objectives. Program and Process Improvements. Recommends program improvements and operational enhancements. Works with internal and external stakeholders on feasibility and implementation. People Management. Manages small team including structuring of work, development of staff, etc.
Qualifications At least twelve (12) years of experience including at least eight (8) years of compensation/equity experience; prior management/supervisory experience required Strong verbal and written communications and presentation skills; ability to concisely summarize and discuss complex technical requirements/matters with key stakeholders Strong people and project management abilities, analytical and technical skills and customer focus Comprehensive and in-depth understanding of financial, accounting, tax, legal and compliance/reporting rules relating to equity/cash compensation including: FAS 718 SEC proxy disclosures for equity plans and equity-based awards in both proxy and Form 10-K IRC Section 409A Section 16 and 10b5-1 plans Global compliance College degree required; advanced degree (e.g., MBA) is desirable Certified Equity Professional (CEP) certification and/or WorldatWork certification preferred but not required
